(&#8220;Seller&#8221;) to the customer identified in the corresponding purchase order (&#8220;Customer&#8221;). By placing an order, Customer agrees to be bound by this Agreement.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>1. Orders and Acceptance<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All orders must be submitted in writing and are subject to acceptance by Aurality.<\/li>\n\n\n\n<li>No order shall be binding until confirmed in writing by Aurality.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>2. Pricing and Payment<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Prices are exclusive of taxes, duties, shipping, and installation unless otherwise stated.<\/li>\n\n\n\n<li>Full payment is due prior to shipment, unless otherwise agreed in writing.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>3. Delivery and Risk of Loss<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Estimated delivery dates are non-binding.<\/li>\n\n\n\n<li>Title and risk of loss transfer to Customer upon shipment from Aurality\u2019s facility (ExWorks).<\/li>\n\n\n\n<li>Delays due to force majeure or third-party carriers are not the responsibility of Aurality.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>4. Product Installation<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Customer is responsible for site readiness in accordance with The Empress3D Site Requirements Guide.<\/li>\n\n\n\n<li>If installation is included, it will be conducted by certified Aurality personnel or authorized partners.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>5. Warranty<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Empress3D is warranted to be free from defects in materials and workmanship for <strong>12 months<\/strong> from delivery.<\/li>\n\n\n\n<li>Warranty excludes damage due to misuse, improper installation, unauthorized repair, or environmental factors.<\/li>\n\n\n\n<li>Aurality\u2019s sole obligation under warranty is repair or replacement of defective parts.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>6. Returns and Cancellations<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All sales are final. Returns are not accepted without prior written authorization.<\/li>\n\n\n\n<li>Order cancellations may be subject to a <strong>restocking fee of up to 20%<\/strong> if the product is built or shipped.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>7. Software Licensing<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Any software included with The Empress3D is licensed, not sold, and is subject to Aurality\u2019s Software License Agreement.<\/li>\n\n\n\n<li>Customer agrees not to alter, decompile, reverse engineer, or distribute the software.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>10. Limitation of Liability<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Aurality\u2019s liability is limited to the purchase price of the Product.<\/li>\n\n\n\n<li>Under no circumstances shall Aurality be liable for indirect, incidental, or consequential damages.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>11. Confidentiality<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Both parties agree to maintain the confidentiality of proprietary information, including pricing, designs, and technical materials.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>12. Governing Law<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>This Agreement shall be governed by the laws of the State of [Insert State], without regard to its conflict of law provisions.<\/li>\n\n\n\n<li>Disputes shall be resolved in the courts located in [Insert County\/State].<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>13. Entire Agreement<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>These Terms and Conditions, together with the applicable purchase order, constitute the entire agreement between the parties.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>14. Tariffs and Government-Imposed Charges<\/strong><\/p>\n\n\n\n<p>Aurality reserves the right to adjust the pricing of The Empress3D or related goods and services in the event that new tariffs, import\/export duties, customs fees, or other government-imposed charges are enacted or modified after the date of quotation or order acceptance.
